1. WHAT INFORMATION DO WE COLLECT?

Personal information you disclose to us

We collect personal information that you provide to us.

We collect personal information that you voluntarily provide to us when you register on the Services, activities on the Services, or otherwise when you contact us.

Personal Information Provided by You. The personal information that we collect depends on the context of your interactions with us and the Services, the choices you make, and the products and features you use. The personal information we collect may include the following:

Information automatically collected

This information includes mailing addresses, job titles, email addresses, phone numbers, intent data (or user behavior data), Internet Protocol (IP) addresses, social media profiles, social media URLs, and custom profiles, for purposes of targeted advertising and event promotion. If you interact with us on a social media platform using your social media account (e.g., Facebook or Twitter), we receive personal information about you such as your name, email address, and gender. Any personal information that we collect from your social media account depends on your social media account's privacy settings.

Our Services offer you the ability to register and log in using your third-party social media account details (like your Facebook or Twitter logins). 7. HOW LONG DO WE KEEP YOUR INFORMATION?

In Short: We keep your information for as long as necessary to fulfill the purposes outlined in this privacy notice unless otherwise required by law.

We will only keep your personal information for as long as it is necessary for the purposes set out in this privacy notice, unless a longer retention period is required or permitted by law (such as tax, accounting, or other legal requirements). No purpose in this notice will require us keeping your personal information for longer than three (3) months past the termination of the user's account.

When we have no ongoing legitimate business need to process your personal information, we will either delete or anonymize such information, or, if this is not possible (for example, because your personal information has been stored in backup archives), then we will securely store your personal information and isolate it from any further processing until deletion is possible.

HOW DO WE KEEP YOUR INFORMATION SAFE?

Opting out of marketing and promotional communications: You can unsubscribe from our marketing and promotional communications at any time by clicking on the unsubscribe link in the emails that we send, replying "STOP" or "UNSUBSCRIBE" to the SMS messages that we send, or by contacting us using the details provided in the section"below.You will then be removed from the marketing lists. However, we may still communicate with you — for example, to send you service-related messages that are necessary for the administration and use of your account, to respond to service requests, or for other non-marketing purposes.

10. CONTROLS FOR DO-NOT-TRACK FEATURES

Most web browsers and some mobile operating systems and mobile applications include a Do-Not-Track ("DNT") feature or setting you can activate to signal your privacy preference not to have data about your online browsing activities monitored and collected. At this stage no uniform technology standard for recognizing and implementing DNT signals has been finalized. As such, we do not currently respond to DNT browser signals or any other mechanism that automatically communicates your choice not to be tracked online. If a standard for online tracking is adopted that we must follow in the future, we will inform you about that practice in a revised version of this privacy notice.

11. DO CALIFORNIA RESIDENTS HAVE SPECIFIC PRIVACY RIGHTS?

In Short: Yes, if you are a resident of California, you are granted specific rights regarding access to your personal information.

California Civil Code Section 1798.83, also known as the "Shine The Light" law, permits our users who are California residents to request and obtain from us, once a year and free of charge, information about categories of personal information (if any) we disclosed to third parties for direct marketing purposes and the names and addresses of all third parties with which we shared personal information in the immediately preceding calendar year. If you are a California resident and would like to make such a request, please submit your request in writing to us using the contact information provided below.

If you are under 18 years of age, reside in California, and have a registered account with Services, you have the right to request removal of unwanted data that you publicly post on the Services. To request removal of such data, please contact us using the contact information provided below and include the email address associated with your account and a statement that you reside in California. We will make sure the data is not publicly displayed on the Services, but please be aware that the data may not be completely or comprehensively removed from all our systems (e.g., backups, etc.).

CCPA Privacy Notice

The California Code of Regulations defines a "resident" as:

(1) every individual who is in the State of California for other than a temporary or transitory purpose and

If you are using an authorized agent to exercise your right to opt out we may deny a request if the authorized agent does not submit proof that they have been validly authorized to act on your behalf.

Verification process

Upon receiving your request, we will need to verify your identity to determine you are the same person about whom we have the information in our system. These verification efforts require us to ask you to provide information so that we can match it with information you have previously provided us. For instance, depending on the type of request you submit, we may ask you to provide certain information so that we can match the information you provide with the information we already have on file, or we may contact you through a communication method (e.g., phone or email) that you have previously provided to us. We may also use other verification methods as the circumstances dictate.

We will only use personal information provided in your request to verify your identity or authority to make the request. To the extent possible, we will avoid requesting additional information from you for the purposes of verification. However, if we cannot verify your identity from the information already maintained by us, we may request that you provide additional information for the purposes of verifying your identity and for security or fraud-prevention purposes. We will delete such additionally provided information as soon as we finish verifying you.

Other privacy rights

  • You may request correction of your personal data if it is incorrect or no longer relevant, or ask to restrict the processing of the information.
  • You can designate an authorized agent to make a request under the CCPA on your behalf. We may deny a request from an authorized agent that does not submit proof that they have been validly authorized to act on your behalf in accordance with the CCPA.
  • You may request to opt out from future selling of your personal information to third parties. Upon receiving an opt-out request, we will act upon the request as soon as feasibly possible, but no later than fifteen (15) days from the date of the request submission.

Payments

1. Key Terms for Payment Services

"Class Fees" mean the amounts that are due and payable by a Student for confirmed classes that have been given by a Teacher. The Teacher alone, and not Modareseen.com, is responsible setting the amount of the class. "Service Fees" means the fees Modareseen.com charges to the Teacher when using Modareseen.com Connection Services. "Payment Method" means a method or service available on the Modareseen.com Platform for a Student to purchase Modareseen.com Credits, such as credit card or debit card.

2. Class Contract

Upon confirmation of Teacher Services, time, and price by both the Student and the Teacher, such Student and Teacher shall be considered as entering into a contract, pursuant to which the Student agrees to purchase, and the Teacher agrees to deliver, the Teacher Services (the "Class Contract"). You agree not to enter into any contractual provisions that conflict with the Modareseen.com Terms or other Modareseen.com Policies. The Student and Teacher each covenant and agree to act with good faith and fair dealing in performance of the class Contract. Furthermore, the Student and Teacher each acknowledge and agree that the value, reputation, and goodwill of the Modareseen.com Platform depends on their performance of the foregoing covenants and agreements. The Student and the Teacher therefore agree that Modareseen.com has the right to take such actions with respect to the class Contract, including without limitation suspension, termination, or legal actions, as Modareseen.com in its sole discretion deems necessary to protect the value, reputation, and goodwill of the Modareseen.com Platform.

3. Financial Terms for Students

For Students, you must use your credit or debit card through Stripe to purchase Teacher Services from a Teacher. Modareseen.com provides each Student with a link to complete the purchase.

3.1 No Refunds on Authorized Payments

Authorized payments are final. No refunds will be given for classes purchased.

3.2 Third Party Payment Method Fees

When purchasing Classes, you may be charged additional fees by the third party that provides the applicable Payment Method. These fees are not under Modareseen.com's control, and Modareseen.com disclaims all liability in this regard. Whatever Payment Method you use may be subject to additional terms and conditions, which we recommend that you review before using such Payment Method.

3.3 Canceled class Requests

If a class Request is canceled by the Student, declined by the Teacher, or expires (not confirmed by the Teacher within the request period), you can request to receive a refund for the class fees minus any amounts charged for the transaction assuming you are not within 1 week (7 days) of the class time. If you are requesting a refund within 1 week (7 days) of the class time, Modareseen.com reserves the right to decline your refund request.

3.4 Feedback and Ratings on classes

As a Student, when you confirm a class was successful, you may be asked to leave feedback and a rating for the Teacher. Leaving feedback or a rating is optional. However, if you do so, you agree that your feedback must be genuine and honest, and will not commit fraud, spam, insult, harass, threaten, or otherwise misuse the feedback system. You agree to report violations or abuses of our rating and feedback system by contacting Customer Service, and agree not to take any actions that undermine the integrity of the feedback system.

4. Financial Terms for Teachers

For Teachers, you must use your bank account through stripe to receive payment for Teacher Services from Students. Modareseen.com provides each Teacher with a link to their respective stripe accounts.

4.1 Accepting class Requests

Teachers will receive requests for classes from Students ("class Requests"). By accepting a class Request, you agree to provide the class to the Student at the date and time as described in the applicable class Request. You can choose to decline any class Request.

4.2 Cancellations of class Requests

As a Teacher, you acknowledge and agree that Modareseen.com may in its sole discretion cancel a confirmed class Request pursuant to Modareseen.com Terms and other Modareseen.com Policies. You further acknowledge and agree that Modareseen.com and the relevant Student will not have any liability for such cancellations or refunds.

4.3 Modareseen.com Commission Fees

Modareseen.com collects commission fees when successful completion of a class is confirmed by the Student. For each successfully completed class, the commission is 17 EGP plus any charges incurred for the transaction from partners such as Stripe of the total cost of such class ("Commission Fee"). The Commission Fee will be deducted upon the completion of student payment.

4.4 No Circumvention of Commission Fees

Teachers shall not engage in any action or activity meant to circumvent the Commission Fees, with such actions or activities including, but not limited to, the following: (i) suggesting, soliciting, or accepting payment outside of the Modareseen.com Platform, or by other means other than through the Payment Services; or (ii) reporting or listing an inaccurate price for a class on the Modareseen.com Platform, or charging a fee for a class that is different from the amount agreed between Student and Teacher.

4.5 Withholding or Delaying Disbursement of Funds

If Modareseen.com determines that a Teacher's actions may have resulted or will result in a significant number of disputes, refunds or other claims from Students who purchased such Teacher’s classes, Modareseen.com reserves the right to delay or stop the disbursement of all funds accrued in such Teacher's Stripe account. If Modareseen.com reasonably concludes that a Teacher has violated the Modareseen.com Terms or other Modareseen.com Policies, Modareseen.com may refuse to disburse the funds accrued in such Teacher's stripe account and debit such funds from the Teacher stripe account.

4.6 Rounding Off

Modareseen.com may, in its sole discretion, round up or round down amounts that are payable from or to Teachers or Students to the nearest whole functional base unit in which the currency is denominated (e.g. to the nearest dollar); for example Modareseen.com may round up an amount of $101.50 to $102.00, and may round down an amount of $101.49 to $101.00.

5. Class Packages

A Teacher may offer Students, and Students may purchase from a Teacher, more than one class in a single package (each such class package, a "class Package"). Students are expecting to complete all classes in the class Packages within the agreed upon date in the package. If there are any remaining classes that have not been completed on or before the Package Expiration Date, Modareseen.com reserves the right to not reimburse the student with any fees.

6. Taxes

Teachers shall be solely responsible for determining their applicable tax related duties in connection with the income obtained from their Teacher Services, and shall also be solely responsible for remitting to the relevant authority any applicable taxes that need to be paid. Modareseen.com cannot and does not offer tax-related advice to any Members.

7. Modareseen.com Fees Policies

7.1 Foreign Exchange Risk

Modareseen.com Credits are tied to US Dollars. Modareseen.com is not responsible for currency fluctuations that occur when billing or crediting a credit or debit card denominated in a currency other than US Dollars, nor is Modareseen.com responsible for currency fluctuations that occur when receiving or sending payment via third party payment services when purchasing Modareseen.com Credits or withdrawing an Modareseen.com Credit balance.

8. Modareseen.com's Rights Regarding Modareseen.com Accounts and Funds

8.1 Security and Financial Fraud

As a security measure, Modareseen.com may impose transaction limits on some or all Students and Teachers relating to the value of any transaction or disbursement, the cumulative value of all transactions or disbursements during a period of time, or the number of transactions per day or other period of time. We will impose these limits before any services are rendered if we determine it is necessary for security reasons or the prevention of fraud. Modareseen.com reserves the right to void Modareseen.com purchases if purchases are found to be fraudulent.

8.2 Reservation of Rights for Erroneous Transactions

Modareseen.com reserves the right to seek reimbursement from any Teacher or Student, if Modareseen.com, in its sole discretion, determines that erroneous or duplicate transactions have occurred. Modareseen.com may obtain such reimbursement by deducting from future payments owed to such Teacher, by reversing any future payments from students, or by seeking reimbursement from such Teacher by any other lawful means.

8.3 Prohibition on Friendly Fraud

"Friendly Fraud" is when a person initiates a fraud dispute with a payment provider, claiming that their credit card (or other payment method) was not intended to be used. Because Modareseen.com does not offer refunds, users that disagree with the policy have tried to use Friendly Fraud to receive a refund. This type of behavior is illegal and prohibited by all payment providers. Modareseen.com also strictly opposes Friendly Fraud. If Friendly Fraud is discovered, the Student's Modareseen.com Account and Student Wallet will be deactivated, purchased credits will be confiscated, and the Student will be noted as a financial security risk. In the case of honest mistakes, Modareseen.com can reverse the transaction. We strongly advise Students to contact Modareseen.com Customer Service to resolve any financial disputes.

9. Prohibitions

In addition to complying with the restrictions regarding improper use of the Modareseen.com Platform described in Restrictions of the Modareseen.com Terms, you understand and agree that you are solely responsible for compliance with any applicable laws, rules, regulations, and tax obligations that may apply to you in connection with the use of the Payment Services. In addition, you may not and you agree that you will not: Violate any local, state, provincial, national, or other law or regulation, or any order of a court, such as money laundering and internet fraud or theft; Use the Payment Services for any commercial or other purposes that are not expressly permitted by this Payment Policy; Use the Payment Services to transmit, distribute, post or submit any information concerning any other person or entity, including without limitation, personal contact information or credit, debit, calling card or account numbers, or photographs of others without their permission; Register any Payment Method or Withdrawal Method with your Modareseen.com account that is not yours or you do not have authorization to use; Attempt to probe, scan, or test the vulnerability of any Modareseen.com system or network or breach any security or authentication measures; Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Modareseen.com or any other third party (including another Member) to protect the Payment Services; Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Payment Services to send altered, deceptive or false source-identifying information; Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Payment Services; Use credit cards or other payment methods fraudulently; Advocate, encourage, or assist any third party in doing any of the foregoing. Modareseen.com has the right to investigate and prosecute violations of any of the above to the fullest extent of the law. In addition, and as set in this Payment Policy, Modareseen.com may take a range of actions against you, including but not limited to limiting access to your Modareseen.com Account and any associated Payment Services, for a violation of this Payment Policy.

10. Teacher – Student Dispute

In the event of a disagreement between a Teacher and a Student, Modareseen.com encourages the Teacher and Student to communicate directly and attempt to resolve the disagreement. If a Teacher and Student are unable to resolve a disagreement and Modareseen.com is asked to mediate, Modareseen.com may request that the Teacher and Student both provide communication records regarding the dispute, which should show all key relevant information including the time, date and communication details. Although Modareseen.com will attempt to evaluate the dispute on an impartial basis, Modareseen.com will have the authority to resolve the dispute in its sole discretion, and Modareseen.com’s resolution of the dispute will be final. As a result, Modareseen.com shall have the right, in its sole discretion: To transfer funds, offer a refund, or reverse a transaction. To designate who shall bear the Commission Fee resulting from any such actions. 11. Teacher Policy

If you want to offer Teacher Services on the Modareseen.com Platform, you must read and agree to be bound by these policies for Teachers ("Teacher Policy"). Capitalized terms (including the term "Modareseen.com") used but not defined in this Teacher Policy have the meanings ascribed to such terms in our Terms of Service. If you do not accept this Teacher Policy in full, you are not authorized to teach on the Modareseen.com Platform and you are not eligible to receive any benefits from Modareseen.com for any Teacher Services you provide. This Teacher Policy is designed to encourage the highest standards of Teacher behavior in their relationships with Students by setting clear expectations, and to provide the principles to guide Teachers in their daily conduct when providing Teacher Services and interacting with Students. However, our Teachers come from all over the world and are thus accustomed to a variety of different cultural norms. As a result, this Teacher Policy attempts to adopt universally accepted standards of respect and tolerance. This Teacher Policy does not attempt to address every potential situation that could arise when Teachers interact with Students on the Modareseen.com Platform, but instead provides principles for ethical and professional behavior that can serve as guidance regarding Modareseen.com expectations.

1. Teacher Registration and Service Description

1.1 Teacher Registration

You will have the ability to create and manage a Teacher profile on the Modareseen.com Platform, and you can begin providing "Teacher Services", including offering and providing paid classes ("class") to Students. To the extent permitted by applicable law, Modareseen.com may obtain (i) background check reports from public records or through third party vendors regarding matters such as criminal convictions or sex offender registrations, and/or (ii) identity verification check reports. As a condition of applying to become a Teacher, you agree and authorize us to use your personal information, such as your full name and date of birth, to obtain such reports. In order to obtain such identity verification check reports, you further agree and authorize us to provide the copy of your passport or official identification card you submitted with a third party vendor.

1.2 Teacher Services Description

To the extent permitted by applicable law, Modareseen.com may obtain (i) background check reports from public records or through third party vendors regarding matters such as criminal convictions or sex offender registrations, and/or (ii) identity verification check reports. As a condition of applying to become a Teacher, you agree and authorize us to use your personal information, such as your full name and date of birth, to obtain such reports. In order to obtain such identity verification check reports, you further agree and authorize us to provide the copy of your passport or official identification card you submitted with a third party vendor. Write a specific, detailed service description with clear teaching scope and classes; Set expectations that you can meet or exceed; Do not offer services with the intent to commit fraud, provide services other than those outlined in your description, or offer any services in exchange for positive feedback or at no cost; Do not advertise any third-party teaching service, platform, software, or application; and Do not include any personal contact information, including but not limited to, email, telephone number, or social media account number.

2. Teacher Services Guidelines

2.1 Teacher Service Request

Once you receive a Teacher Service request from a Student, you agree to the following: Use the Modareseen.com Platform to manage all Teacher Service requests from Students; Respond promptly to all Teacher Services related communications, whether from a Student or from Modareseen.com; Maintain a record of all important details of the communication between you and the Student. For the avoidance of doubt, communication may be conducted via emails, instant messages, telephone or in-person conversations, and important details generally includes information related to the scope of your Teacher Services, your time frames and availability to provide any Teacher Service, your price, your feedback to Student, any schedule changes, any delay of providing your Teacher Service, and completion of classes; and Respond to all Teacher Services requests with accept, decline, or propose a time/date change. Do not ignore Teaching Service requests and allow them to expire.

2.2 Class Policy

All Teachers are expected to comply with the following policies when providing a class: Commit to your scheduled class. A confirmed class is a commitment you make with a Student. Reschedule or cancel as a last resort and only after you have communicated this with your Student. If you know you will be away and unable to respond to Students for a certain period, take the responsibility to notify your Students of your absence and update the availability information on your Modareseen.com Account profile accordingly. Make records. Teachers should maintain a record of all important details of communications with the Students pursuant to Section 2.1(3). If there is a dispute between Teacher and Student, Modareseen.com will request both Teacher and Student to provide evidence in the format of screenshots, and such screenshots shall contain all information related to such dispute, such as the date, time and other communication details. Start Teacher Services on time. Teachers should start any class at the time scheduled with the Student, and should initiate contact with the Student, particularly with a first-time Student. Connect with the Student. Teachers should connect with their Students on the agreed communication platform well before the scheduled start time for the class. Don’t wait until the last minute. Waiting for a late Student. If a Student is late for a scheduled class, the Teacher should wait for the Student until the end of the period for the scheduled class. The Teacher should be available to start the class at any time during the scheduled period for the class. The Teacher is not, however, required to make up for lost time due to the Student's late arrival. End class on time. Teachers should politely let Students know that their classes are ending by reminding them before the end of the class time period. You may politely tell the Student that you need to prepare for an upcoming class with another Student. Rescheduling a class due to Student’s absence. If a Student fails to attend a class and requests to reschedule the class, it is the Teacher decision to agree or reject.

2.3 Cancellation and Rescheduling

If you will be unable to provide your Teacher Services at the time previously agreed between you and a Student, you agree to (i) immediately inform the Student that you are unable to provide your Teacher Services at the scheduled time, and provide the Student with an explanation; and (ii) immediately inform Modareseen.com customer service. If you were unable to inform the Student in advance due to an emergency, you are required to give an explanation to the Student as soon as you are able to do so. After obtaining the consent from the Student, a Teacher may cancel or reschedule any scheduled Teacher Service (including a class) at any time that is more than 24 hours before such Teacher Service is scheduled to start. Canceling or rescheduling a Teacher Service must be handled through the Modareseen.com Platform. No Teacher Service (including a class) may be canceled or rescheduled by a Teacher or Student within 24 hours of the start time for such Teacher Service. If either a teacher or student fail to attend class in the agreed upon time, the other party has 24 hours from the class time to report the incident or Modareseen.com has the right to decline the refund request.

2.4 Payment and Feedback

After you provide any Teacher Services, you agree to the following: Use the Modareseen.com Payment Service to handle all financial matters related to your Teacher Services; and Provide helpful, objective, balanced feedback for the Student.

2.5 Additional Guidelines

You also agree the following additional guidelines in connection with providing your Teacher Services on the Modareseen.com Platform: Maintain the privacy of Modareseen.com Students pursuant to the Modareseen.com Privacy Policy, including refraining from requesting any personally identifiable information from Students, such as birth date, age, government issued identification number, phone number, or home address; Maintain the privacy of your own personal information, including details related to your Teacher Wallet (as defined in the Modareseen.com Payment Policy); Maintain records of all invoices and payments in connection with your Teacher Services; Cooperate with Modareseen.com in any anti-fraud actions and in resolving any disputes; and Report any violation of the Modareseen.com Terms or any other Modareseen.com Policies, including misuse of ratings and feedback.

3. Service Standards

3.1 Be Culturally Sensitive

Respect the values and traditions of your Students. Unless specifically requested by the Student, please avoid asking about the following: Your Student’s personal life. For example, do not ask a Student whether he or she is married, or whether he or she has a girlfriend or boyfriend. Your Student’s political affiliations. For example, do not ask a Student whether he or she supports a particular political party or ideological view. Your Student’s religious affiliations. For example, do not ask a Student if he or she believes in God or identifies with a particular religious group.

3.2 Be Patient and Polite

Since Students come from different backgrounds and have different language abilities, it is important to be patient and polite. Help them through their language learning difficulties. Be encouraging, not discouraging. Do not berate, yell at, or insult a Student. Do not tell a Student he or she is dumb or insult their current level of language ability. Do not use rude or offensive language with a Student. Instead, use respectful language and speak to Students with professional courtesy. Do not lose your temper with a Student. If you are not sure that you are able to handle a situation with composure, you are welcome to contact Modareseen.com customer service for help, or to suggest that a Student contact Modareseen.com customer service to resolve an issue.

3.3 Be Professional

Teachers must take the initiative in communicating with and managing Students. In addition to the Teacher Services guidelines described in Section 2 (Teacher Services Guidelines), Teachers are expected to provide Teacher Services in a professional manner, which includes: Being responsive. You should respond to messages from Students promptly. When you receive a Teacher Service request from a Student, you should respond within 48 hours OR before the start time proposed by the Student for the Teacher Service (whichever is sooner). The Modareseen.com Platform will send you notifications when a Student sends you a message or a Teacher Service request, but we recommend that you login to your Modareseen.com Account at least twice a day to check and respond to messages and Teacher Service requests. Maintain the privacy of your own personal information, including details related to your Teacher Wallet (as defined in the Modareseen.com Payment Policy); Respect Student privacy. Recording audio or video of a Student is not permitted without the Student’s prior written or recorded consent. Teach your language. Students are paying you to teach them a new language. Do not use this time to practice the Student’s native language. Instead, give Students more speaking time. Provide accurate and respectful feedback. Modareseen.com provides a feedback and rating system to allow Students to publicly express their opinions to their Teacher’s instruction quality. Modareseen.com does not monitor, censor, or investigate feedback and rating posts unless a problem is brought to our attention. If you believe a particular Student’s feedback or rating is improper, untrue or violates Modareseen.com Terms or Modareseen.com Policies, please report the incident to Modareseen.com customer service.

4. Violation of this Teacher Policy

You are expected to perform any Teacher Service in a manner that satisfies the teaching standards described above and results in a consistently high level of Student satisfaction. You are in breach of this Teacher Policy, if you: Fail to deliver any Teacher Service for which payment was accepted; Fail to take reasonable efforts to resolve a dispute with a Student; Create unacceptable levels of Student dissatisfaction; or Violate any Modareseen.com Terms or any other Modareseen.com Policies. Modareseen.com reserves the right to take any of the following actions at any time and in its sole discretion: Cancel your listed Teacher Services; Limit your Modareseen.com Account privileges; Adjust your Teacher Wallet balance and/or freeze or suspend your Teacher Wallet; Suspend or terminate your Modareseen.com Account; or Contact law enforcement or seek legal remedies.

5. Teacher Content

The terms of this section regarding Teacher Content applies to all Teachers providing Teacher Services on the Modareseen.com Platform, in addition to the terms of Section 10 (Member Content) of the Modareseen.com Terms.

5.1 Teacher Content Ownership

Any articles, video or any other materials used in your Teacher Services or submitted to the Modareseen.com Platform in connection with your Teacher Services, such as your introduction video (the "Teacher Content"), constitute Member Content. As a result, pursuant to this section and Section 10 (Member Content) of the Modareseen.com Terms, you own the copyright to your Teacher Content, and Modareseen.com does not claim any ownership rights in any Teacher Content.

5.2 Student License to Teacher

You hereby grant each Student who purchases your Teacher Services a right to use, view and copy your Teacher Content that you use in providing your Teacher Services to such Student solely for personal and noncommercial educational purposes. You acknowledge that all of the representations, warranties, license grants and other provisions contained in Section 10 (Member Content) of the Modareseen.com Terms apply to all of your Teacher Content that you submit to the Modareseen.com Platform.

5.3 Modareseen.com License to Teacher Content

In addition to the license you grant to Modareseen.com to use, view, copy, modify, distribute, publish and otherwise exploit your Member Content (including your Teacher Content) pursuant to Section 10 (Member Content) of the Modareseen.com Terms, you hereby grant Modareseen.com a license to use your Teacher Content (including your introduction video) and information about your Teaching Services in marketing, advertising and promotion of the Modareseen.com Platform in any medium. For the avoidance of doubt, Modareseen.com may publish your introduction video to Modareseen.com’s official channels in third-party video hosting and streaming services, such as Youtube, Vimeo, Youku. Modareseen.com will remove any Teacher introduction videos from our official channels on third-party video hosting and streaming services upon written request from such Teacher sent to Modareseen.com customer service. You also grant Modareseen.com the right to use your profile name as part of our marketing, advertising and promotion of the Modareseen.com Platform.

6. Prohibitions

In addition to complying with the restrictions regarding improper use of the Modareseen.com Platform described in Restrictions of the Modareseen.com Terms, you agree not to, and will not assist, encourage, or enable Students or other Teachers to: Provide or post false, misleading, inaccurate, or plagiarized information on the Modareseen.com Platform, including in your Teacher profile, course content, class history and feedback. Fail to establish or maintain your Modareseen.com Teacher profile to ensure that it contains complete, accurate, and updated information. Provide your Teacher Services for free or in exchange for positive feedback or ratings from Students. Provide your Teacher Service, including offering and providing classes, to any "fake" Students that uses Modareseen.com Account created by yourself or any third party to drive up your class counts and ratings in bad faith. Forge or alter your education background, curriculum vitae, work experience or certificates. Advertise or promote third party language learning services. Encourage or allow Students to work with you outside of the Modareseen.com Platform or accept payment outside of the Modareseen.com Platform. If a Student asks you to provide Teacher Services outside of the Modareseen.com Platform, please remind the Student that classes must be scheduled and paid for through the Modareseen.com Platform. You can report the Student or contact Modareseen.com customer support. In the event that you violate the prohibitions set forth in this section, Modareseen.com reserves the right to immediately suspend or deactivate your Modareseen.com Account. Modareseen.com also reserves the right to confiscate any earned Modareseen.com Credits (as defined in the Payment Policy), and you may lose access to your class and teaching history on the Modareseen.com Platform. If you believe that others have violated these prohibitions, or if you are not sure whether any specific actions would violate these prohibitions, please contact Modareseen.com customer support immediately. Community Conduct and Content Policy In addition to Section Restrictions of the Modareseen.com Terms, Modareseen.com does not tolerate any of the behaviors described below: Spam: Do not send the same message to multiple Members or repeatedly post the same message in the post, exercise, question or other sections of the Modareseen.com Platform. Commercial Advertisements: Do not contact other Members for commercial purposes without their consent. In addition, do not create posts or comments that are solely for commercial purposes since this detracts from, and does not add anything of value to, the language-learning community. Search for a Romantic Relationship: Do not contact other Modareseen.com Members for dating, or to find sexual partners. This is improper conduct, and might be treated as harassment. Harassment, Bullying, or Stalking: Modareseen.com does not tolerate harassment, bullying or stalking. Modareseen.com may, at its sole discretion, take action on the reports of harassment, bullying and stalking. Repeatedly messaging another user with unwanted friend requests or messages is harassment. Impersonation: Do not claim to be another person, or seek to mislead others as to your identity by copying another Member’s avatar, using a username that is misleadingly similar to another Member or otherwise posing as another Member. Do not create a false presence for an organization. Personal Information of Others: Do not post on the Modareseen.com Platform other people’s personal information, such as phone number, private email address, physical address, credit card number, passwords and/or any other similar personal identifiable information. Threat of Violence: Do not threaten violence towards other people, or use the Modareseen.com Platform to organize, promote, or incite acts of real-world violence or terrorism. Hate Speech and Offensive Language: Do not post any content, send any messages or otherwise take any actions on the Modareseen.com Platform that attacks others based on their body size, personal appearance, level of experience, race, ethnicity, nationality, religion, gender, sexual orientation, disability or medical condition. Sexually Obscene Content: Do not post any pornographic content, any sexually explicit content or any content that displays nudity. Pirated Content: Do not post any content infringes any third party’s intellectual property rights. Self-Harm: Do not post any content that promotes or encourages self-harm such as self-mutilation, eating disorders, drug abuse or suicide. Defamation: Do not post any content on the Modareseen.com Platform that is intended to, or would reasonably be expected to, harm Modareseen.com or our brand, including the images and reputations of our employees, agents, and officers. Political or Religious Discussions: Do not initiate or participate in discussions or post images that relate to political or religious events or groups. Politics and religion are sensitive topics that often lead to polarizing and hateful comments. It is our position to not have these types of discussions on a site that is meant for language learning. Reporting Violations We rely on Members to let us know when violations of the Community Policy occur. We do not actively monitor the Modareseen.com Platform for offensive content or other violations of this Community Policy. If you believe that a violation of this Modareseen.com Community Policy or other Modareseen.com Policies has occurred, please report the violation to us. If you see a post or comment that violates the Community Policy or other Modareseen.com Policies, please report the violation to us Actions we may take in response to a violation of this Community Policy include but are not limited to: Remove the violating content; Suspend the Modareseen.com Account of the Member that committed the violation; and/or Terminate the Modareseen.com Account of the Member that committed the violation.
